We will conduct the usual annual ToR
review and update against the ICSA precedent. No changes anticipated at present or until the regulations are finalised.

We review all committees’ ToRs on an annual basis. We are proposing some changes to the RemCom ToR this year but not necessarily related to the NAPF guidance or government proposals. We will revisit next year once the new regulations are settled.

No. We have based ours on the ICSA model and feel that they adequately cover the duties.

We review our ToR annually but have yet to consider if any changes will be required. We may check if the ICSA updates its precedent as we find it a useful guide.

We will probably take a look at the ToR, but it might be worth checking whether ICSA have any plans to updater their precedent, which I believe many companies follow.
