A EX LISTED Company Secretary writes...

We are developing an intranet – from scratch – for our company.

If you have a Company Secretary section of your intranet, it would be helpful to know what it contains – and do you find that people access it?

    This is a good prompt for me to look at what we place on the intranet from the CoSec dept. Currently we have mainly Team org structure, contact details for the team, Share Schemes information, Share Dealing Policy, Code of Ethics, etc. which are mainly policy driven. We definitely also need to get some templates up there. Our company intranet is mainly dominated by policies (HR, IT, Tech, Cyber, etc), HR related documents and guidance and news across the Group (internal and external).

      Similar to others, the CoSec content is fairly limited (policies and share dealing info is accessed elsewhere). We have the team org chart, responsibilities and contact details, paper templates and Board and Committee meeting dates.

        I have the Board meeting timetable and templates for Board papers, together with some instructions on what a good Board paper might include, information on MAR and clearance to deal, high level information on the group strucutre and directors’ duties, current issued share capital and key policies. It’s not somewhere people will natuarally browse, but if you include links to topics when writing to them about that subject they’ll hopefully remember and come back again. I’ve done a couple of podcasts on things that wouldn’t date too much (MAR and Board papers), just as a way of mixing up the way people can consume information

          Our specific CoSec pages are quite limited – as below (policies are elsewhere). Main thing accessed is PTD forms. Contains: CoSec roles and responsibilities / Share dealing policy / Code on inside information / Permission to deal (form) / Dealing notification (form) / Persons authorised to speak to financial analysts and financial media / Procedures for managing and releasing inside information.
