A EX LISTED Company Secretary writes...
As Company Secretary, are you responsible for maintaining a contracts register and do you require all contracts to go through the Secretariat to be signed with an execution form? If you maintain a database register for your contracts do you use a commercially available register – if so, whh one?

We keep a list in an Excel file. Its imple but it works. Main issue is making sure contracts are always sent to us.

Within company secretariat we only keep a register of contracts that require seals or the use of the official company stamp (some countries do not accept the seal but insist on what they call the chop). We record all of these on Computershare’s GEMS database.
Certain other major contracts are logged by either Group legal or Group procurement on their own systems.

We have a legal team that do this – so it does not come through the Secretariat. They are looking at putting in iManage to manage their work.
